Criminal history, civil litigation, judgments, SEC and FINRA actions, state regulatory history, bankruptcies, and prior business failures, in the U.S. and in the principal’s home country. We verify claimed degrees, licenses, and registrations by calling the source.
Corporate structure and beneficial ownership
Sunbiz, Delaware, and foreign filings. Who really owns the entity, who owned it before, and which other companies share the same officers, addresses, and registered agents. Brickell structures often run through Delaware, the Cayman Islands, the BVI, or Panama, and we map them.
Litigation and liens
Every lawsuit the company or its principals have been party to, read from the docket. UCC filings, tax liens, unpaid judgments, and investor complaints.
Sanctions and compliance screening
OFAC and other watchlist screening of principals, owners, and affiliates, which for counterparties with Venezuelan, Russian, or other high-risk ties is a question your bank will ask before you do.
Reputation and references
Conversations with former partners, investors, employees, and counterparties. Public news, regulatory complaints, and online history preserved with dates.
Undisclosed conflicts and related parties

Questions About Corporate Due Diligence
How is this different from what my law firm or my bank does?
Your attorneys review the documents the other side provides. Your bank screens names against a list. We investigate what the counterparty did not provide and what the list does not show. Together that is due diligence. Alone, each is a fraction of it.
Can you check foreign principals and offshore entities?
Yes. Most Brickell engagements involve at least one party outside the U.S. We work with vetted correspondents in Latin America, Europe, and offshore jurisdictions, and we are candid about the limits of each.
Is this confidential?
Yes. The counterparty does not learn an investigation happened unless you choose to tell them. Reference interviews are conducted in a way that does not tip the subject.
How long does it take?
A principal and entity check takes about a week. Full pre-investment diligence with references and multi-jurisdiction tracing runs two to four weeks. Rush work is possible when a closing is fixed.
What does it cost?
Scoped and quoted in writing before we start. Most engagements are a flat fee tied to the number of subjects, entities, and jurisdictions.
